Terms of Use

Last updated: September 7, 2026

These Terms of Use (“Terms”) govern your access to and use of paysource.com and its associated webpages (collectively, the “Website”), which are owned and operated by PaySource, Inc. (“PaySource,” “we,” “us” or “our”).

Please read these Terms carefully. By accessing or using the Website, you acknowledge that you have read and agree to these Terms. If you do not agree, please do not use the Website.

1. Website Purpose

The Website provides general information about PaySource and the payroll, human resources, timekeeping, compliance and related business services we may offer.

Website content is provided for general informational and marketing purposes only. It is not intended to serve as payroll, tax, accounting, legal, employment, human resources, financial or other professional advice.

Laws, regulations and administrative guidance may change, and their application may depend on specific facts and circumstances. You should consult an appropriately qualified professional before making decisions based on information presented on the Website.

2. No Client Relationship

Accessing the Website, submitting a form, requesting information, communicating with PaySource or receiving a quote does not create a client, fiduciary, advisory or other professional relationship between you and PaySource.

A client relationship is established only after PaySource and the prospective client complete and accept the applicable agreements, authorizations and onboarding requirements.

Descriptions of services on the Website are general and may not reflect every feature, limitation, eligibility requirement, price or contractual term. If Website content conflicts with a signed client agreement, the signed client agreement will control.

3. Quotes and Service Information

Any quote, estimate, promotion or description provided through or in response to the Website is subject to review, eligibility requirements and confirmation by PaySource.

Unless expressly stated otherwise in writing:

  • Quotes and estimates are not binding service agreements.
  • Services and pricing may vary based on a business’s needs and circumstances.
  • Promotions may be subject to eligibility requirements, deadlines and additional terms.
  • PaySource may correct errors or withdraw information, quotes or promotions when appropriate.
  • Service availability may depend on location, requested features, third-party providers and applicable law.

Submitting a request does not guarantee that PaySource will offer or provide any particular service.

4. Permitted Use

You may use the Website only for lawful purposes and in accordance with these Terms.

You agree not to:

  • Use the Website in violation of any applicable law or regulation.
  • Submit false, misleading, fraudulent or unauthorized information.
  • Impersonate another person or misrepresent your identity or authority.
  • Attempt to gain unauthorized access to the Website, its systems or connected services.
  • Interfere with the operation, security or availability of the Website.
  • Introduce viruses, malicious code or other harmful technology.
  • Use automated tools to scrape, harvest or extract Website content or data without written permission.
  • Copy, reproduce, distribute, modify or commercially exploit Website content without authorization.
  • Use the Website to transmit unlawful, harmful, abusive or deceptive material.
  • Attempt to test or circumvent Website security measures.
  • Use PaySource’s name, trademarks or content in a manner that suggests an unauthorized affiliation or endorsement.

We may restrict or terminate access to the Website when we reasonably believe these Terms have been violated or when necessary to protect the Website, PaySource or others.

5. Information You Submit

When submitting information through the Website, you represent that:

  • The information is accurate to the best of your knowledge.
  • You have the authority to provide the information.
  • Providing the information does not violate another person’s rights or applicable law.
  • You will not submit highly sensitive information through a general website form unless PaySource specifically instructs you to use that form.

Do not submit Social Security numbers, bank-account information, payroll records, employee records, passwords or other highly sensitive information through general contact or quote-request forms.

Submission of a form authorizes PaySource to use the information provided to review and respond to your request. Marketing communications are governed by the choices presented on the form and our Website Privacy Policy.

6. Intellectual Property

The Website and its content—including text, graphics, designs, photographs, videos, logos, icons, software, page layouts, downloads and other materials—are owned by PaySource or used with permission and are protected by applicable intellectual-property laws.

“PaySource” and associated names, logos, slogans and branding are trademarks or service marks of PaySource. Nothing on the Website grants you a license or right to use PaySource’s intellectual property except as expressly permitted in these Terms.

You may view and print reasonable portions of publicly available Website content for your own internal, noncommercial business use. You may not remove copyright, trademark or other ownership notices.

7. Third-Party Websites and Services

The Website may contain links to websites, portals, applications, products or services operated by third parties.

Third-party resources may include client or employee portals, background-check providers, benefits providers, social networks, business partners and other external services.

PaySource does not control independent third-party websites or services and is not responsible for their:

  • Content
  • Availability
  • Security
  • Accuracy
  • Products or services
  • Privacy practices
  • Terms and conditions

A link does not necessarily mean that PaySource endorses or guarantees the third party. Your use of third-party websites and services is governed by the terms and policies of those third parties.

8. Website Accuracy

We make reasonable efforts to present useful and accurate information. However, we do not guarantee that Website content is complete, current, error-free or applicable to every situation.

The Website may contain typographical errors, outdated information or technical inaccuracies. PaySource may update, correct, remove or change Website content at any time without prior notice.

You are responsible for independently verifying information before relying on it.

9. Website Availability

We may modify, suspend, restrict or discontinue all or part of the Website at any time.

We do not guarantee that:

  • The Website will always be available.
  • Access will be uninterrupted or error-free.
  • Defects will always be corrected.
  • The Website will be free from viruses or other harmful components.
  • The Website will be compatible with every device, browser or system.

We may conduct maintenance or make changes without notice.

10. Disclaimer of Warranties

To the fullest extent permitted by applicable law, the Website and its content are provided on an “as is” and “as available” basis.

PaySource disclaims all warranties concerning the Website, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose, title and noninfringement.

Nothing in this section limits any warranty or right that cannot lawfully be excluded.

11. Limitation of Liability

To the fullest extent permitted by applicable law, PaySource and its owners, officers, employees, agents and service providers will not be liable for indirect, incidental, special, consequential, exemplary or punitive damages arising from or related to:

  • Access to or use of the Website
  • Inability to access or use the Website
  • Reliance on Website content
  • Errors or omissions in Website content
  • Third-party websites or services
  • Unauthorized access to information
  • Viruses or harmful technology transmitted through the Website

These limitations apply regardless of the legal theory asserted and even if PaySource has been advised that damages are possible.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Liability arising from payroll, HR, timekeeping or other services provided to a PaySource client is governed by the applicable client agreement rather than these Website Terms.

12. Indemnification

To the fullest extent permitted by applicable law, you agree to indemnify and hold harmless PaySource and its owners, officers, employees and agents from claims, liabilities, damages, judgments, losses and reasonable expenses arising from:

  • Your unlawful or unauthorized use of the Website
  • Information or materials you submit through the Website
  • Your violation of these Terms
  • Your violation of another person’s rights

This section does not require you to indemnify PaySource for conduct for which indemnification cannot lawfully be required.

13. Privacy

Our collection and use of personal information through the Website are described in our Website Privacy Policy.

The Website Privacy Policy is incorporated into these Terms by reference. If you do not agree with our privacy practices, please do not submit personal information through the Website.

14. Electronic Communications

When you submit a form or contact PaySource electronically, you consent to receive electronic communications reasonably necessary to respond to your request.

This does not automatically subscribe you to ongoing marketing communications. Marketing preferences are governed by the choices presented when information is collected and by applicable law.

You are responsible for providing accurate contact information and keeping it current during your communications with PaySource.

15. Children

The Website is intended for businesses and is not directed to children under 13.

If you are under 13, do not submit personal information through the Website. A parent or legal guardian who believes a child has submitted personal information should contact PaySource.

16. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

To the extent permitted by applicable law, any legal action concerning the Website or these Terms must be brought in an appropriate state or federal court located in San Diego County, California.

17. Changes to These Terms

We may update these Terms to reflect changes in the Website, our business practices or applicable law.

When changes are made, we will update the “Last updated” date at the top of this page. Changes become effective when posted unless a different effective date is stated.

Your continued use of the Website after updated Terms become effective constitutes acceptance of the updated Terms to the extent permitted by law.

18. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision will be enforced to the maximum extent permitted, and the remaining provisions will continue in effect.

19. No Waiver

PaySource’s failure to enforce a provision of these Terms does not waive its right to enforce that provision or any other provision later.

20. Entire Agreement

These Terms and the Website Privacy Policy constitute the entire agreement between you and PaySource concerning use of the public Website.

These Terms do not replace or modify any separately executed client, service, employment or vendor agreement.
